Legal Agreement: Terms of Service
THE SANDBOX Paso Robles TERMS OF SERVICE (THE SANDBOX Member Agreement):
This membership agreement is entered into by and between Kaldera Collective LLC d.b.a. THE SANDBOX Paso Robles having an address of 1345 Park Street Paso Robles, California 93446 (also referred to in this document as: “THE SANDBOX”, “SANDBOX”, “Sandbox Paso Robles”, “SandboxPasoRobles”, “Sandbox Paso”, “we”, “us”, “our”), and SANDBOX Member as specified below.
THE SANDBOX was created to foster and support a business community by providing its members with a memberships, office space, work stations, tables, office equipment, chairs, internet connectivity, networking opportunities, and other resources and services (known as, the “Services” and/or “Premises”). The goal of THE SANDBOX Paso Robles community is to help and inspire each of us to do our best work and build great businesses. In doing so we should be considerate of each other, play well together, and follow the Rules of THE SANDBOX. If one of us doesn’t follow the rules, it affects all of us, and as a condition to membership, we each agree to abide by this Membership Agreement (“Agreement”). Members purchase the “Services” which THE SANDBOX Paso Robles offers for a fee. By joining THE SANDBOX Paso Robles as a member, individuals and their respective companies as members agree to certain rules for our community (“Rules of THE SANDBOX Paso Robles” or “Rules”).
You acknowledge that you are joining the SANDBOX, and our membership at your own free will and decision. You acknowledge that THE SANDBOX Paso Robles does not have any liability with respect to your access, participation in, use of the Services, or any loss of information resulting from such participation or use.
As a member you also agree to hold THE SANDBOX Paso Robles harmless of any wrong doings, legal issues, malicious or harmful activities you may participate in on the premises or after leaving THE SANDBOX Paso Robles.
To end your use of THE SANDBOX, and your paid membership and/or lease (if applicable) all Members need to abide by the points in the “Termination” section below. This includes the appropriate notice to leave THE SANDBOX, or downgrade your membership (see the notice section below). At the end of the membership members are required to pay membership fees to complete their membership term if fees are due.

Here are the Rules of THE SANDBOX Paso Robles which all members, including you, agree to adhere to.
1) THE SANDBOX COMMUNITY
Our members and community are our focus at THE SANDBOX. Believe in yourself, believe in others, and especially believe in the collaborative power of THE SANDBOX Paso Robles, Goleta and Santa Barbara. We do and encourage you to network, collaborate, create, work hard, have fun, improve and be respectful.
We also love ideas to make THE SANDBOX better and love to talk about them. We encourage you to give feedback whenever you’d like to. 2) CONDUCT
We ask that those at THE SANDBOX treat others the way you would want to be treated. Keep in mind that people who are annoyed or offended may not tell you so directly, but instead engage less with THE SANDBOX. At our sole discretion, or upon notice from other members, disruptive behavior will result in a warning and a mark against your membership (a “strike”). On the third strike, your membership will be revoked. Note that your membership may be revoked prior to the third strike upon our sole discretion.
These are the conduct rules you should always abide by:
- Respect the space and leave it as you find it. If you move things around, then return them to their original spot when you are finished and tidy up after yourself.
- Indoor voice. We are all trying to get work done, so try to be mindful and respectful of others’ attention and time. Generally, if someone has their headphones on, please respect their privacy. THE SANDBOX is not a library, but this is a workplace, first and foremost, so voices should be kept at a level that others are not impacted.
- Phone calls and online meetings. If you have a phone call and it will last a minute, feel free to take it in the common areas. If you are going to be on the phone for more than a minute please use a designated phone area, a conference room (you’ll need to book and pay for it), or step outside. The designated phone areas and phone booths exist so that you and your fellow coworkers can have some privacy and avoid hearing half of a conversation. We have multiple phone booths for calls. Please use them. If they are full, take a call outside.
Please also refrain from taking a call or joining an online meeting where your device or laptop is not connected to a headset to ensure only one voice from your call is heard in the building. - Harassment. We have zero tolerance for harassment of our members, guests or employees of THE SANDBOX. Anyone found in violation of this will be banned from the space at our sole discretion.
3) MEMBERSHIP ACCESS
THE SANDBOX is a membership based community. With your membership you get access to the building for yourself, and only yourself. With your membership you will have access to digital keys and a membership account. Your membership and login information should not be shared, and access to the building should not be given to anyone else. This includes sharing your login and your access to the building. If you are found to be sharing your account your membership will be canceled immediately and you will be charged $100 per day per incident and each incident will be reviewed for further charges. If someone needs access to work at THE SANDBOX, simply have them purchase a day pass or membership so that they can access the building as any other member would.
4) MEMBERSHIP TERM
When completed by the Member, this Agreement will be effective on the Start Date of your Community Membership.
If your Membership is designated as a “Monthly” Membership, then the “Term” of the Membership will begin on the Start Date of that membership and will continue on a monthly basis, until terminated (ended or canceled) by a party in accordance with these Terms and Conditions.
If the Membership Period as specified above is designated as a “Daily” Membership Period, then the “Term” of the Membership will begin on the Daily Start Date and will end at the end of that day, or, if the Member elects to continue or extend the Membership, then this Agreement will continue for so long as the Member elects to continue the multiple day or monthly Membership and pay its Fees.
If the Membership Period as specified above is designated as an “Other” type Membership Period, then the “Term” of the Membership will begin on the Start Date and will terminate at the end of the Membership Period specified therein.
In all events, any use by an individual of the Services shall be subject to the terms of this Agreement.
5) PAYMENT AND FEES
We collect fees for monthly memberships, day passes, conference rooms and any other charges through credit card or bank account (ACH) billing.
If payment is not made on time, late fees (listed in these Terms of Service) will apply and this agreement may be terminated by the sole discretion of THE SANDBOX Paso Robles.
THE SANDBOX does not refund payments. If conditions are met for meeting room cancellations, we can give you a credit to use at a future date.
If you believe you have been billed in error, you should contact us before disputing the charge with your credit card company. Billing errors at THE SANDBOX are easy to solve.
THE SANDBOX also reserves the right to increase membership fees at any time. Any increases will be announced at least 30 days in advance of any changes to membership fees.
6) LATE PAYMENT AND LATE FEES
THE SANDBOX member management system attempts to charge your payment method 3 additional times after a missed payment. After the last unsuccessful attempt (7 days after ), membership and door access will be revoked and THE SANDBOX will assess a late fee according to the schedule below.
When payment is made your next payment date will be reset to 30 days after the initial payment due date.
If payment is not successful 10 days after your membership renewal date, we will cancel your membership and hold you responsible for the balance due and all late fees.
We reserve the right to transfer your delinquent balance over to a collection agency if the balance is not resolved within 10 days and may impound your property left in THE SANDBOX.
Late Fees Charged at 7 Days
Virtual Memberships - $50
Coworking Memberships - $50
Desks and Office Memberships - 10% of Membership Fee
Additional Late Fees Charged at 14 Days
Virtual Memberships - $100
Coworking Memberships - $100
Desks and Office Memberships - 20% of Membership Fee
Late fees are cumulative.
7) TERMINATION OR CANCELATION BY MEMBER
Any Member may terminate this Agreement at the end of the initial term or subsequent month to month renewal term by providing thirty plus (30+) days’ written notice to us by completing the form on our website here: https://thesandboxPaso Robles.com/cancel-your-membership/ AND emailing us at hello@thesandboxpaso.com.
Terms for how the notification period works with your membership, how notifications are executed by the member, and last payment requirements are below.

THE SANDBOX does not provide refunds upon termination or cancellation with respect to amounts already paid. You will also remain liable for past due amounts, and we may exercise our right to collect due payment, despite termination of your Membership at THE SANDBOX.
Monthly and All Access Coworking Memberships
All Monthly Coworking Members (non-Office Members) may terminate with notice via our website at: https://thesandboxPaso Robles.com/cancel-your-membership/ at least 30 days ahead of their next Bill Date. At the time of termination, payment for the next 30 days are due and a full or prorated amount will be charged.
Office, Desks and Company Memberships
Members with offices may terminate this Agreement at the end of the term, or subsequent month to month renewal term, by providing thirty plus days. This means at least thirty (30+) days written notice to us must be provided completing the form here: https://thesandboxpaso.com/cancel-your-membership/
However, in the case of office, dedicated desks, 805 Plans or Company Memberships only the last business day of a calendar month may be set as the termination date and the Member will not be entitled to any proration with respect to any fees.
For example, if the Member delivers a termination notice on August 15, the termination will not be effective until the last business day of September, and the Member will owe fees due for the entire month of September.

8) TERMINATION BY THE SANDBOX
THE SANDBOX may immediately terminate this Agreement, including, without limitation, the Membership and access to the Premises, by written notice to you (email to suffice). Termination of the membership by THE SANDBOX would occur upon breach of this Agreement by you, or at any other time, when THE SANDBOX Paso Robles, in our sole discretion, see fit to do so. Members will remain liable for past due amounts and we may exercise our rights to collect due payment despite termination of this Agreement. Beyond those day-to-day rules, you agree not to use THE SANDBOX Paso Robles for any purpose that is unlawful, prohibited, or that could damage, disable or impair any of THE SANDBOX Paso Robles’s property, or keep other members from using THE SANDBOX Paso Robles’s property, or that would hurt THE SANDBOX Paso Robles as a business or our reputation. This also means you won’t attempt to gain access to any computer systems or networks of THE SANDBOX Paso Robles (beyond general web access), or attempt to obtain any materials or information not intentionally made available to all members. You will also not attempt to obtain any materials or information from other SANDBOX members. If you attempt to do any of these things, your membership may be terminated immediately.
9) REMOVAL OF PROPERTY
Prior to the termination or expiration of this Agreement, you will remove all of your property from the Premises. After providing reasonable notice (email to suffice), THE SANDBOX will dispose of any property remaining on the Premises without any obligation to store or return such property, and you waive any claims or demands regarding such property or our handling of such property. You will be responsible to pay any fees reasonably incurred by THE SANDBOX regarding such removal. Following the termination or expiration of this Agreement, we will not forward or hold mail or other packages delivered to us. If you desire mail forwarding and are in good standing, please purchase a Virtual Membership.
10) REFUNDS
Memberships
Our system provides multiple steps to purchase a membership and also allows individuals multiple times to exit the purchase process. It is your decision to purchase a membership and THE SANDBOX does not refund membership purchases after the point of purchase.
Pre-Booked Daily and Month Offices
THE SANDBOX reserves the right to charge the full monthly or daily amount for any office that has been booked in advance for a future start date regardless if it is used/occupied at any time.
Meeting Rooms
All hourly meeting room, training room or phone booth bookings at THE SANDBOX are paid in advance. Because of the demand for these rooms, we do not refund booking fees. We can rebook your scheduled meeting room reservation, or give you a credit for a future date if you give us notice up to 48 hours before your scheduled meeting time. However, within 48 hours we are unable to rebook, or refund the payment for a scheduled meeting if you decide to cancel.
11) GUESTS
Guests of SANDBOX Members
Feel free to invite friends or guests for lunch, or just to say hello. If your guests are going to be at THE SANDBOX in the common area for more than an hour they will need to purchase a day pass. In addition, if your guest would like to use the internet, they will need to purchase a day pass. Guests are required to adhere to the Rules of THE SANDBOX Paso Robles.
If your guests are part of an active meeting booked in our Meeting Room, day passes are not required.
Young Children. THE SANDBOX Team is committed to creating a productive workspace for adult members. To support working parents, THE SANDBOX, encourages onsite infant care during the first 2 years of life for the purposes of breastfeeding and bonding. While we do not have a designated breastfeeding area, if available, we can make private areas accessible to feed and bond with your young child. Please ask the SANDBOX team if there is private space available to use.
Children (2-18) THE SANDBOX team acknowledges that working parents may need some flexibility in the care for older children. To assist with this, Children (aged 2-18) are allowed “free visits” to their parents for up to 30 minutes per occasion. They must sit quietly with the parent and must respectfully follow the community standards.
THE SANDBOX team is also aware that life’s visits don’t always fit neatly into a 30 minute period. To assist with this, and like all guests, a member can purchase a visiting day pass for their children (aged 2-18) at current day pass rates. However, our intentions are not to become a daycare or after school alternative, so we are limiting the purchase of day passes for children to two per member per month. We much rather see kids outside exploring nature with their peers, than hanging out at THE SANDBOX during the workday.
12) DOG AND PET POLICY
We love dogs, but THE SANDBOX is a professional work environment. THE SANDBOX policy allows for members to focus on their work and allows individuals with allergies or fears of dogs to have a safe environment for work.
Dogs are allowed at THE SANDBOX for members with private offices upon completion of the required steps or are deemed a Service Dog. No other animals are allowed at THE SANDBOX.
SANDBOX members with private offices are allowed to bring one (1) dog, if steps are followed.
Individuals with other memberships, including any coworking day pass or monthly coworking memberships, are not allowed to bring dogs to THE SANDBOX. We do not make exceptions.

Under NO circumstances can a dog be in THE SANDBOX, if you as a member haven’t followed the steps required by our Dog Policy.
If THE SANDBOX Dog Policy has not been followed and a member’s dog is in THE SANDBOX at any time the Member will be immediately charged $500 per occurrence.
If you have an issue about another member's Dog, please contact THE SANDBOX staff before discussing with the member who is bringing the dog to THE SANDBOX.
13) SHARED WORK SPACE
Coworking Tables and Desks
Our workspace occupancy fluctuates during the day, to be sure we always have available space, please do not leave property on the desks or around the desks when you will not be working there.. Take home what you bring in and don’t leave things out on the tables for extended periods of time. Also note that other members may need to share a large table with you.
Phone Booths
The member use of our phone booths also fluctuates. Phone booths should be used as locations for calls, not daily offices. Please do not leave your things in the phone booths if you are not on a call so that others can use the private spaces.
Desk Use
Semi-Private & Private Desks & Office Desks: The desk space is yours to use, and will be occupied solely by you during the time of your membership. Please feel free to add your personal items to your desk, but refrain from marking on or destroying the desks in any way (this includes stickers).
14) MEETING SPACES
Meeting Space and/or Meeting Rooms: Please be aware that our meeting space and meeting rooms need to be booked through THE SANDBOX booking calendar to use. Room bookings should be made through Proximity and require payment for our members and the public to use. Members can also use their free time and/or discount available with your membership to book the room (if applicable). Meeting space can be booked at http://www.thesandboxpaso.com/meet
If you are using the rooms without booking, you will be charged at the full meeting room rate plus a 20% booking fee for the time used. Note that we review all activity in the meeting rooms at THE SANDBOX daily, and reserve the right to charge you for any use of a meeting room that is not booked through the Proximity system.
15) FACILITIES, SYSTEMS AND EQUIPMENT
THE SANDBOX uses a number of systems and equipment that are operated to provide a hospitable workplace for everyone working in the building. In order for the systems and equipment to operate properly we have outlined a few of these systems below.
Audio & House Music
We use a SONOS system and multiple speakers to play music continuously throughout THE SANDBOX. Music is selected by SANDBOX staff. Do not turn off the system or speakers at any time. If you have an issue with the music, please discuss it with THE SANDBOX staff and we will do our best to accommodate your needs and tastes.Flame and Heaters
Heat & Air Conditioning
THE SANDBOX heats and cools the building with a built-in Heating and Air Conditioning System. There are a number of systems involved with the cooling and heating of the building operated by THE SANDBOX. The heat and air conditioning units are on a schedule that makes sense for most people and may be controlled by the building and remain locked. Please do not attempt to alter the thermostats. If you are hot or cold, please let the SANDBOX staff know and we can direct the hot or cool air to the area you are working in. If the heat or air conditioning do not seem to be working, please notify THE SANDBOX Staff.
Refrigerator
The refrigerator at THE SANDBOX is a shared space used by both our members, guests and THE SANDBOX. It is used for storing items for the day, or time you are at THE SANDBOX.This includes food, beverages, and some occasional leftovers from events or meetings. We clean the refrigerator regularly, and food that is older than one week and expired and/or not labeled will be thrown out. Containers of food left in the refrigerator may be thrown out at any time at our sole discretion. Labeling your food will help us at least give you a heads up. We clean out the refrigerator every Friday as needed. If it’s unidentified it will be disposed of or recycled.
Sensors and Fire Suppression
THE SANDBOX Paso Robles and Paso Robles are outfitted with sensor systems and in Paso Robles and Paso Robles fire sprinklers. These systems are triggered by smoke and flame.
Open flame is not permitted at THE SANDBOX. This includes heaters, candles, incense, or other products that are lit by open flame. Portable heaters of any kind are not permitted at THE SANDBOX as they can overheat or put unnecessary strain on the electrical system in the building.
Smoking is also not permitted within the workspace by the State of California.
16) BUILDING ACCESS
All members can access the building via the digital keys in the Proximity Space App. Access times vary depending on the membership currently held.
The SANDBOX is a secured facility and we take access control very seriously.
As a member of THE SANDBOX you agree to not let anyone into THE SANDBOX outside of the hours of the times where our staff is in the space. Please check the designated hours of THE SANDBOX location to be sure when guests are allowed. No guest should be let in to THE SANDBOX anytime during the weekend and anytime during the week outside of the 8:30 and 5pm without the permission of THE SANDBOX management team. Note that individuals with granted access to the building will have both agreed to these terms and conditions and have been given key access via the Proximity Space App. No one should be let in to “see the space”, “take a look” or for other reasons unless THE SANDBOX management is aware of it. Please check with THE SANDBOX before giving access to anyone or simply don’t give anyone access, at any time. If someone has questions about our hours or anything else, THE SANDBOX can be contacted directly via our customer service portal, website, phone number, email or slack channel
17) CLOSURES
THE SANDBOX is always open to our members with Office and ALL ACCESS Memberships. Although unfrequent, the building may be closed for something outside of our control like power outages or natural disasters and weather related causes.
We also “close” the building for the holidays and events. This means during holidays and events the space may not be open for coworking day passes or room bookings. On occasion we also limit access to certain areas of the building for those with coworking membership, but will provide an alternative location.
Holidays observed by THE SANDBOX are listed on our websites, and event notices will be distributed through our communication channels in advance of the event.
18) LOST AND FOUND
THE SANDBOX is not responsible for things that are left in the buildings by members or guests. We do our best to hold lost items and notify our members of anything we have found. However if things are not claimed within a month they are donated, recycled or disposed of.
19) ALCOHOL
THE SANDBOX is a social space.
By agreeing to this membership you are aware that beer, wine and the occasional cocktail will sometimes be available at THE SANDBOX, and you agree to hold THE SANDBOX harmless for any activities surrounding your alcohol intake. We do not tolerate intoxication at THE SANDBOX.
By joining THE SANDBOX, you also agree to hold THE SANDBOX harmless of any wrong doings, legal issues, malicious or harmful activities you may participate in on the premises or after leaving THE SANDBOX while drinking or otherwise.
Be mindful that your end of the work day may not match up with other people’s schedule. Underage drinking is not tolerated at THE SANDBOX and will result in the immediate cancellation of the membership associated with underage drinking.
20) USE OF THE SANDBOX
Reasonable Use
THE SANDBOX provides a number of uses that are included in THE SANDBOX memberships. Some of these uses are of a non-restricted nature including, but not limited to, Internet bandwidth, coffee, events, and meeting/board room access, games, and more. It is understood that these services are offered as a benefit of membership (some requiring additional fees) and are not a right. THE SANDBOX, in its sole discretion may limit access to these items, or charge a fee for them.
Overnight and After Hours Use
We understand that our members may need to work late every now and again. You’re invited to take advantage of your access to the building, however, you can’t live at THE SANDBOX. Under no circumstances is sleeping at the space overnight (or at any time) allowed. If you are working late it is also necessary to follow all rules of the space. This means, phone calls should not be made in the coworking area, audio from your computer should not be played out of speakers and audibly heard in THE SANDBOX. You never know who is working at THE SANDBOX so you are most likely disturbing someone no matter what time it is.
21) OFFICE USE, FURNITURE AND MODIFICATIONS
You are responsible for any damages done to THE SANDBOX while you are working in the space or your office. Private offices will be inspected before and after the start and end of each occupancy/office membership period.
Because our Private Offices have glass fronts, we provide furniture and an overall aesthetic for the space. If you’d like to bring in your own furniture in addition to ours, please contact THE SANDBOX Team prior to bringing it in. Ideally the design fits our aesthetic, but in some cases it may not. If you are moving in furniture, you are responsible for any moving costs or damages to THE SANDBOX.
You may hang photos or paintings in your private office but are responsible for any damage done to the walls or office. Other requests such as painting or window coverings, are discouraged but handled on a case-by-case basis and may incur additional fees. You may not modify any wiring, carpet, or doors.
THE SANDBOX reserves the right to refuse the use of any furniture or equipment that causes a hazard or disturbs the community.
Office members may submit a logo for their office door (purchased by THE SANDBOX) and our digital displays (in certain locations). You may not put signage outside our building or in the shared workspaces. You may use signage within your Private Office as long as it does not cause a hazard or disturb the community.
22) EVENTS
THE SANDBOX occasionally hosts events produced by 1) THE SANDBOX, such as learning seminars, demo nights, parties, dinners, health and wellness classes and coffee socials; 2) outside partners; 3) and private organizations and individuals who rent the space for conferences, workshops, company meetings, company parties, wedding rehearsal dinners, photo-shoots, film shoots, audio recording sessions, product releases, etc.
THE SANDBOX will schedule events to work with the schedule of our members, and the layout of the building. We know some of the events may be a distraction to members who want to focus on their work, and will do our best to notify members and host the event in a way that doesn't interfere with work. However, keep in mind that THE SANDBOX and our community is driven by personal interaction and we feel that events are a great way for the community to grow and for our members to connect, network and grow their own business.
23) RETAIL SPACE
THE SANDBOX also functions as a retail space and THE SANDBOX provides retail items including paid snacks and sundries. These items are for sale and payment can be made through Venmo to @sandboxco. Items should be paid immediately after selection. THE SANDBOX monitors and tracks items in the retails space to maintain our inventory.
24) SECURITY
THE SANDBOX takes security VERY seriously.
As a SANDBOX Member you agree to not compromise the building security or the security of the spaces therein and will ensure that all reasonable measures are taken to safeguard THE SANDBOX building, occupants and the occupants possessions. At no time should security locks be bypassed or left in an open position. External doors should never be propped open unless done so by a SANDBOX manager. Members understand that THE SANDBOX monitors and tracks all activities using a variety of technologies including, but not limited to, video surveillance, access cards, internet access systems and intrusion systems; and agrees to such monitoring and tracking.
You will not let anyone into THE SANDBOX outside of the hours of 8:30 and 5pm without permission from THE SANDBOX Management. Permission needs to be granted each time, and one time permission does not mean that an individual is granted perpetual access to THE SANDBOX. All individuals accessing the building will need to join THE SANDBOX as a Community Member and agree to our Terms of Service. Note that all members with access to the building also have key access via the Proximity Space App. If someone doesn’t have key access they should not be in the building during non-staffed hours. No one should be let in to “see the space”, “take a look” or otherwise. If someone has questions, THE SANDBOX contact information is available on our website.
As a SANDBOX Member or guest you hereby authorize THE SANDBOX to intercept, disclose and/or use any communication, video, audio or other communication in the normal course of its business or any other activity necessary to protect the rights or property of THE SANDBOX and its members, or guests. Members and guests waive and shall have no cause of action or claim pursuant to this section against THE SANDBOX, its agents and employees. Members and guests hereby waive and release any rights it has or any other claim in favor of THE SANDBOX, its agents and employees in the interception, use of any wire, electronic, video or oral communication during the course of its operations.
25) BUSINESS DEVELOPMENT CONDUCT
THE SANDBOX community and network is a great place to make connections and build a great community and network of your own. THE SANDBOX is not a place to join with the sole intention or interest of selling to other members. We are about collaborative and honest business at THE SANDBOX, so don’t bring anything else here. Violations of this will result in a strike, or in many cases a termination of your membership.
26) INAPPROPRIATE USE
You agree not to use THE SANDBOX in connection with:
- Contests, pyramid schemes, chain letters, junk email, spamming or similar annoying behavior.
- Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others.
- Posting, distributing or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information.
- Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which infringes another’s rights, or is protected by intellectual property laws where you don’t own or license such rights.
- Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of THE SANDBOX or another member.
- Storing illegal substances. No illegal substance will be stored at THE SANDBOX in any condition.
You should not use THE SANDBOX as your living space. THE SANDBOX is a workplace, not a place of residence in any way. If asked, members will need to provide a residential address.
27) CONFIDENCES AND CONFIDENTIALITY
You acknowledge that during your membership at THE SANDBOX, you are going to be exposed to private and sensitive information owned by THE SANDBOX and our members.This means any information (such as business information, trade secrets, technology, customers and prospects, and other secret stuff) disclosed by THE SANDBOX or by other members of THE SANDBOX (including through your observation) that is confidential or proprietary in nature and simply just or should just not be known by others. It’s plain and simple - you agree to keep confidential and not to disclose or use THE SANDBOX and our members information and you understand that they remain the exclusive property of whomever disclosed them, and you don’t acquire any rights to such confidences.
28) ACKNOWLEDGEMENT ABOUT PREMISES
You acknowledge that the premises are, or may be, a part of another building or complex and you agree to abide by any rules and regulations applicable to tenants, visitors, or guests thereto and will otherwise conduct your activities in a manner that minimizes any disruption to the building or complex.
29) LIABILITY
Neither THE SANDBOX Paso Robles nor THE SANDBOX members will assume any liability with respect to our members access to, participation in, and use of THE SANDBOX Paso Robles, THE SANDBOX Paso Robles Services, or THE SANDBOX Paso Robles Premises or any loss of information or other property resulting from such participation or use. Basically, if you leave your personal items at THE SANDBOX and it disappears, THE SANDBOX and SANDBOX Members are not liable for the disappearance of these items, THE SANDBOX will however leverage our time and tools to look into how it happened and help you to relocate your items. We will also work to prevent such losses or misplaced items in the future.
THE SANDBOX Paso Robles will not assume liability for damages or injuries to members, clients, guests, or other parties that members may invite to THE SANDBOX Paso Robles. As a user, you are required to carry an appropriate Insurance Policy to cover your own equipment and liability while using our space and any other insurance you deem necessary or desirable. We would be glad to put you in touch with our insurance agent about a general liability policy, if this is of particular concern.
30) PHOTOGRAPHY AND STATEMENT RELEASE
To advance and promote THE SANDBOX Paso Robles and its role in the community, THE SANDBOX Paso Robles regularly utilizes images and/or quotes/statements of THE SANDBOX Paso Robles’s programs, facilities, and members to feature in marketing and promotional materials. Your image and/or quote/statements/participation may be used in print and electronic media for THE SANDBOX Paso Robles, including but not limited to THE SANDBOX Paso Robles’s website, newsletters, press releases, and brochures. As such, you authorize THE SANDBOX Paso Robles to use your image and or quote/statement for any use THE SANDBOX Paso Robles deems appropriate in the promotion and marketing of THE SANDBOX Paso Robles. You understand that your quote/statement may be edited but will continue to reflect your original meaning. You understand that your name, credentials and company information may be identified. You fully discharge THE SANDBOX Paso Robles from any and all claims, monetary and otherwise, arising out of the use of your quote/statement. By signing the end of this agreement, you give permission to THE SANDBOX Paso Robles to use your photograph,image, and/or quote/statement as described above.
31) CHANGES
We will do our best to notify members of changes to the Rules and this Agreement and you’ll need to agree to these changes regularly through the Proximity system we use to manage THE SANDBOX. We will also keep an up-to-date copy of this agreement on our website at: https://members.thesandboxpaso.com/legal/terms-of-service
32) COMPLAINTS
Please don’t make defamatory or disparaging comments about THE SANDBOX, SANDBOX members or SANDBOX Partners. Frankly, if you don’t have anything good to say, then keep it to yourself, or better yet, let us know about it. We are more than willing to talk about it and fix any issues or challenges. Rather than complaining publicly please let us fix any challenges.
33) NOTICES
Any notices under this Agreement shall be delivered in person, by mail, email, slack message or other such method to the party at the address listed in the members profile and this agreement. Any such notice shall be considered delivered upon delivery in person, by mail, email, slack message or other such service.
34) COMMUNICATION TO MEMBERS
We communicate to our members via our Member Platform, Slack Channel, email, and website. Messages may include important information about the building, membership, pricing or local emergency alerts shared by City, County or State government.
Note that joining and using our Slack channel is the best way to ensure you will receive all timely messages as the tool provides a quick way for us to reach all members in a hurry. All members are invited to the channel and can also join by scanning QR codes located throughout the building and online here: https://thesandboxpaso.com/about/slack/
Members are encouraged to stay logged in to slack with alerts set so they do not miss important messages.
DISCLAIMER
Legal types ask that the following sections be CAPITALIZED, which means you’re really supposed to pay attention (frankly, you’re supposed to pay attention to ALL these Rules of THE SANDBOX).
THE SANDBOX PROVIDES SERVICES “AS IS” AS A SERVICE AND NOT AS A LEASE OF REAL PROPERTY, AND DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, TO THE EXTENT PERMITTED BY LAW. OH YEAH, THERE IS ALSO NO WARRANTY OF TITLE, QUIET ENJOYMENT OR POSSESSION. THE ENTIRE RISK OF PARTICIPATING IN OR USING THE SANDBOX SERVICES, REMAINS WITH YOU.
IN NO EVENT SHALL THE SANDBOX OR ITS AGENTS, OWNERS, MEMBERS, OR EMPLOYEES BE LIABLE FOR ANY DIRECT, SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, CONSEQUENTIAL OR OTHER DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOST PROFITS, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE TO MEET ANY DUTY (INCLUDING OF GOOD FAITH OR OF REASONABLE CARE), NEGLIGENCE, AND ANY OTHER LOSS) ARISING OUT OF OR IN ANY WAY RELATED TO THE SANDBOX Paso Robles’s SERVICES OR OTHERWISE, TO THE EXTENT PERMITTED BY LAW.
INDEMNIFICATION
Besides all of the CAPITALIZED text in the Disclaimer section above, you also release, and agree to indemnify, defend and hold harmless THE SANDBOX Paso Robles, its agents, owners, members, contractors and employees, from and against all claims, liabilities, losses, damages, expenses, judgments, fines and penalties based on or arising out of your negligent actions, errors and omissions, willful misconduct or fraud, breach or violation of the Rules of THE SANDBOX Paso Robles or in connection with your participation in THE SANDBOX Paso Robles or use of THE SANDBOX Paso Robles’s Services.
CONSENT
Take note that you can’t sign this Agreement without the prior written consent of THE SANDBOX Paso Robles. Since THE SANDBOX Paso Robles is situated in the City of Paso Robles, we all agree that the law of the city of Paso Robles, county of San Luis Obispo and the State of California governs this Agreement. And we further agree that exclusive jurisdiction and venue for all purposes under this Agreement shall be in Paso Robles, California and everybody consents to such jurisdiction and venue. Finally, in the highly unlikely event that any provision or portion of this Agreement is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this Agreement shall be unaffected and shall remain in full force and effect to the fullest extent permitted by law.
CONFIRMING THE AGREEMENT
I hereby acknowledge that I have read and understood all of the terms and conditions contained in this Membership Agreement and further agree to be bound to the Membership Agreement regarding my participation in and use of the Services.
